Dish TV calls EGM to seek shareholder nod for Director appointments

Direct-to-home operator Dish TV has called an extraordinary general meeting (EGM) on March 21 to secure shareholder approval for the appointment of three directors to the company’s board.

In a regulatory filing to the stock exchanges on Tuesday, the company said it has proposed the names of Sunil Khanna and Sonal Bankim Parekh as independent directors and Ravi Bhushan Puri as the company’s director and whole-time director.

Dish TV announced three special resolutions and one ordinary resolution and said it will offer shareholders the option to vote on all proposed businesses at the EGM through remote e-voting and e-voting facilities.

The remote e-voting period starts on March 18 and ends on March 20, with shareholders holding shares at the cut-off date of March 15 eligible to vote using both remote e-voting and e-voting facilities.

Earlier, Dish TV had appointed Sunil Khanna as an independent director and Ravi Bhushan Puri as executive director, effective December 22, 2023, due to a decrease in its board’s strength. The appointments were subject to shareholder approval.

Dish TV India’s effective board strength has declined to two directors, as the shareholders rejected the company’s proposal to appoint four directors at its EGM on December 22.
Shareholders rejected ordinary resolutions for Rajesh Sahni and Virender Kumar Tagra’s appointment as non-executive directors and special resolutions to nominate Aanchal David and reappoint Shankar Aggarwal as independent directors.

Earlier, the National Stock Exchange and the Bombay Stock Exchange had imposed fines on Dish TV for board composition-related violations for the quarters ended September and December 2023.
